Who can form a company?
The Companies Act generally allows one or more persons to form a company for any lawful purpose by subscribing to its memorandum of association.

How many officers does a company require?
Every company must appoint a Director and a Company Secretary. A private company must have at least one Director who may not also be the Company Secretary.

Do I need a registered office?
Every company must have a registered office which will need to be in England or Wales (or Scotland if the company is registered in Scotland).

What are the Memorandum and Articles of Association of a company?
The Memorandum of Association sets out:

• the company name
• the location of its registered office
• nature of the business that the company will conduct. Most companies are incorporated with standard objects clauses of a general commercial company.

The Articles of Association set out the internal rules of the company.

What forms do I need to complete?
